ORLEANS, Ontario, Feb. 08, 2018 (GLOBE NEWSWIRE) — Tetra Bio-Pharma Inc. (“Tetra” or the “Company”) (TSX VENTURE:TBP) (OTCQB:TBPMF) a global leader in cannabinoid-based drug development and discovery, announced today that it has entered into a bought deal financing agreement to sell 8,000,000 units of the Company (the “Units”) at a price of $1.00 per Unit for gross proceeds of approximately $8.0 million (the “Offering”).
Each Unit will consist of one common share (a “Common Share”) in the Company and one warrant (a “Warrant” and collectively the “Warrants”). Each Warrant will entitle the holder thereof to acquire one Common Share at a price of $1.30, for a period of 36 months from the Closing Date.
The Offering will be conducted by a syndicate of underwriters led by Echelon Wealth Partners Inc. (collectively, the “Underwriters”). Tetra Bio-Pharma has granted the Underwriters an over-allotment option to purchase up to an additional 1,200,000 Units at the offering price, exercisable for a period of 30 days after closing. If the over-allotment option is exercised in full, the gross proceeds from the Offering will be approximately $9.2 million.

The Company intends to use the net proceeds of the Offering to advance the Company’s Phase 3 trial for PPP001 and other clinical trials, to effect the repayment of indebtedness and for general corporate and working capital purposes.
The Offering will be completed by way of a short form prospectus to be filed in all provinces of Canada and on a private placement basis in the United States pursuant to exemptions from the registration requirements of the United States Securities Act of 1933, as amended (the “U.S. Securities Act”).
The Offering is expected to close on or about February 28, 2018 and is subject to customary closing conditions including, but not limited to, the approval of securities regulatory authorities and the TSX Venture Exchange’s approval.
